Terms of Service

Last updated: October 20, 2026

These Terms of Service (“Terms”) are an agreement between you and ReactVision, Inc. (“ReactVision”, “we”, “our” or “us”), a Delaware corporation with its registered address at 1110 Brickell Avenue, Suite 607, Miami, FL 33131, USA. They govern your use of our hosted services, described in Section 2.

Please read them carefully. By creating an account, connecting to our MCP server, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.

If you live in the United States, Section 18 requires you and ReactVision to resolve most disputes through binding individual arbitration, and waives class actions and jury trials. You can opt out within 30 days, as explained in Section 18.5.

If you use the Services for an organization, such as your employer, you agree to these Terms for that organization and confirm that you have authority to do so. In that case “you” means both you and that organization.

Our Privacy Policy explains how we collect and use personal data. It does not form part of these Terms, but please read it alongside them.

1. Summary

This summary is here to help you read the Terms. It is not a substitute for them.

  • These Terms cover our hosted services: the website, the ReactVision Editor (formerly ReactVision Studio), StudioGo, ReactVision Spatial, the hosted MCP server, and related apps and APIs.
  • Open-source code is different. ViroReact, ViroCore and our other open-source projects are governed by their own licenses, not by these Terms.
  • You own your content. You give us only the permission we need to run the Services for you.
  • AI output can be wrong. Check it before you rely on it or ship it.
  • AI generation uses credits. Paid plans renew automatically until you cancel, and fees are generally non-refundable.
  • Enterprise customers with a signed order form or agreement are governed by that document first.

2. The Services these Terms cover

“Services” means the following, as we offer them from time to time:

  1. The website at www.reactvision.xyz, including its free tools (such as the online 3D model, GLB and glTF viewers), newsletter and contact forms.
  2. The ReactVision Editor (formerly ReactVision Studio) at studio.reactvision.xyz: our web-based visual scene editor, including its built-in AI agent, AI asset generation, asset library, team features, environment rendering and billing.
  3. StudioGo, the companion app for iOS, Android and Meta Quest, used to preview scenes, record test environments and test co-location, and our other ReactVision-published apps.
  4. ReactVision Spatial, our managed spatial infrastructure, accessed through an rvApiKey and rvProjectId. It covers Cloud Anchors, Geospatial Anchors, co-location, replicated state, Visual Positioning, asset hosting and over-the-air content delivery, user asset storage, AI asset generation and environment rendering.
  5. The hosted ReactVision MCP server at mcp.reactvision.xyz (also listed as the “ViroReact MCP” in third-party directories). It gives AI agents and MCP clients access to ViroReact knowledge and to tools that validate, render and test scenes, generate images and 3D models, convert scenes between the Editor and code, migrate 8th Wall projects, render scenes inside recorded environments, and report usage.
  6. Professional services such as migration projects, proofs of concept and enterprise support, when they are provided under an Enterprise Agreement (see Section 14).

These Terms do not apply to code we release under an open-source or source-available license (see Section 3).

3. Open-source and source-available software

We publish a lot of our software openly, including:

  • ViroReact (@reactvision/react-viro), ViroCore, the Expo starter kits and the other repositories at github.com/ReactVision that are released under the MIT License.
  • The ViroReact MCP server source code (the viro-mcp repository), released under the Elastic License 2.0. It lets you read, modify and run the code, but not offer it to others as a hosted or managed service.

Each of these is governed only by its own license, which comes with the code. Nothing in these Terms limits the rights an open-source license gives you, and these Terms do not add obligations to that code.

These Terms govern the hosted Services we run, even where they are built on or work with open-source code. For example, ViroReact is free under MIT, but your app’s calls to ReactVision Spatial, such as resolving a Cloud Anchor or streaming hosted assets, are part of the Services. Likewise, running the viro-mcp code yourself is governed by the Elastic License 2.0, while using our hosted MCP server is governed by these Terms.

Some parts of the platform are proprietary, such as the ReactVision Spatial engine, which reaches apps as a prebuilt library inside ViroCore. You may use those parts only as part of the Services, or under the license that comes with them.

If you contribute code to one of our open-source repositories, the license of that repository (and any contributor terms in it) applies to your contribution.

4. Eligibility and accounts

4.1 Minimum age. You must be at least 16 years old to create a ReactVision account or use the Services, as set out in our Privacy Policy. If you are under 18, or under the age of majority where you live, your parent or legal guardian must review and agree to these Terms for you.

4.2 Your account. Most Services need a ReactVision account. You can sign up with an email address and password, or through Apple, Google or GitHub single sign-on. You must give accurate information and keep it up to date. You are responsible for keeping your login details safe and for everything that happens under your account. Tell us straight away at support@reactvision.xyz if you think someone has used your account without permission.

4.3 Teams. You can create or join a team. The team’s owner or admins control the team’s plan, billing, members and shared content. Team members can see each other’s name and email. If you invite someone to a team, you are responsible for making sure they may use the Services under these Terms.

4.4 Connected clients and agents. When you connect an AI agent or MCP client (such as ChatGPT, Claude, Cursor, Codex or Windsurf) to the hosted MCP server, you sign in with your ReactVision account and choose the team that the usage is billed to. Anything that agent or client does through that connection counts as your use of the Services and is billed to the team you chose, whether you or your agent started it. You can disconnect the client at any time.

4.5 API keys. Keep your rvApiKey and any other credentials confidential, and do not put them in public repositories. You are responsible for all usage made with your keys, including usage by end users of apps you build.

5. Plans, AI credits and payment

5.1 Plans. We offer a Free plan, paid plans billed monthly or annually, and custom Enterprise plans, each with different allowances (such as asset hosting storage, ReactVision Spatial API requests and AI credits per month). Some features, such as Environment Testing and removal of the “Powered by ReactVision” watermark, are only on paid plans. Current plans, prices and allowances are on our pricing page.

5.2 AI credits and metered usage. AI credits cover AI asset generation (images and 3D models), the Editor’s AI agent, and MCP usage. Different actions cost different numbers of credits, and the hosted MCP server meters tool calls against the selected team’s plan. You can check your balance in your account or by asking your agent to call the MCP usage tool. When you reach a limit, the related actions may stop working until your allowance resets, you buy a credit pack, or you upgrade.

  • Plan credits are reset at the start of each billing period. Unused plan credits do not roll over.
  • Purchased credit packs do not expire while your account is active. They are used after your plan credits.
  • Credits have no cash value. They cannot be sold, transferred between teams, or exchanged for money, and unused credits are lost when an account or team is deleted or terminated, except where the law requires otherwise.
  • Where a generation fails because of a provider error, we aim not to charge credits for it. We do not otherwise guarantee that a generation will produce a usable result.

5.3 Payment and taxes. Payments are processed by Stripe. By giving us a payment method, you authorize us, through Stripe, to charge the fees for your chosen plan and any purchases. Prices are in US dollars unless shown otherwise and do not include taxes. You are responsible for applicable taxes, and where we are required to collect sales tax, VAT or similar taxes, we will add them at checkout.

5.4 Automatic renewal. Paid subscriptions renew automatically at the end of each billing period (monthly or annual) and we will charge your payment method the then-current price until you cancel. You can cancel at any time from billing in your account. Cancellation takes effect at the end of the current billing period, and you keep paid features until then. Where the law requires it, we will remind you before an annual plan renews.

5.5 Refunds. Except where the law requires otherwise, where we discontinue a Service under Section 13.2, or where an Enterprise Agreement says so, fees are non-refundable. This includes partly used billing periods, unused credits and unused allowances. If you are a consumer in the UK or EU, you have a legal right to cancel a purchase within 14 days. When you buy a plan or credit pack, you ask us to start providing it straight away, and you lose that right once you have used it (for example, by spending credits); for a partly used subscription we may charge for what you used before you cancelled.

5.6 Downgrades and storage limits. If you downgrade, or your paid plan ends, your team moves to the Free plan’s allowances. If your stored content is over the new limit, you may not be able to upload or generate new assets until you are back under it. We will not delete content because it is over a limit without giving you at least 30 days’ notice by email.

5.7 Price changes. We may change our prices. If a change affects your paid subscription, we will give you at least 30 days’ notice, and it will apply from your next renewal after that notice. If you do not want to pay the new price, you can cancel before it takes effect.

5.8 Failed payment. If a payment fails, we may retry it, move your team to the Free plan, or suspend paid features until payment is made.

6. Your content

6.1 What “Your Content” means. “Your Content” is anything you or your team (or your app’s end users, through your integration) upload, create, submit or store through the Services. It includes scenes, projects, code, 3D models, images, audio, video, test environment recordings, anchors, prompts, reference images, 8th Wall project exports, and the AI Output you generate (see Section 7).

6.2 You own it. As between you and us, you keep all rights you have in Your Content. We do not claim ownership of it.

6.3 Permission you give us. You give ReactVision a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, render, convert, display and adapt Your Content, only as needed to provide, secure and support the Services for you and as described in our Privacy Policy. This includes sending prompts and inputs to the providers that carry out your requests (see Section 9), and streaming hosted scenes and assets to the apps and devices you choose. This license ends when Your Content is deleted from the Services, apart from residual backup copies kept for a limited time under our providers’ standard retention, and copies the law requires us to keep.

6.4 No training on your prompts. As stated in our Privacy Policy, we do not keep your prompts to train AI models, and we do not sell Your Content.

6.5 Your responsibilities. You confirm that you have all the rights and permissions needed for Your Content and for our use of it under these Terms, and that Your Content and your use of it do not break the law or anyone else’s rights. This includes recording people: do not record people in test environments without their agreement.

6.6 Sharing. Your Content stays private to your account or team unless you choose to share it, for example through a Scene Link, by publishing a scene to an app, or by adding team members. Once you share content, others may copy or keep it, and we cannot undo that for you.

6.7 End-user assets are deleted after 90 days. Assets your app’s end users generate or upload through the user-asset features of ReactVision Spatial are automatically and permanently deleted 90 days after they are created. If you need them for longer, copy them to your own storage. Team assets are not affected by this rule.

6.8 Backups. You are responsible for keeping your own copies of Your Content. We take reasonable care of it, but we do not guarantee against loss.

7. AI features and AI output

7.1 What the AI features are. Several Services use artificial intelligence, including AI 3D model and image generation, the Editor’s AI agent, scene generation and conversion, 8th Wall migration, error diagnosis, and render-based validation through the hosted MCP server. “AI Output” means the content these features produce, such as images, 3D models, scenes, code, conversions, diagnoses and reports.

7.2 Ownership of AI Output. As between you and us, and to the extent we hold any rights in it, we assign to you our rights in AI Output generated for you. AI Output is part of Your Content. Please note:

  • Similar prompts can produce similar results for other users, so you may not have exclusive rights in AI Output.
  • In some countries, content created mainly by AI may not be protected by copyright.
  • Our AI providers’ terms may also apply to AI Output (see Section 9).

7.3 AI Output can be wrong. AI Output is generated automatically and may be inaccurate, incomplete, insecure, biased, or similar to existing third-party material. Code and scenes from the MCP server or the Editor’s agent may not compile, run or behave as expected on every device. Render tests, structural checks and performance-budget checks are aids; they do not guarantee that an app will work on real hardware. You are responsible for reviewing, testing and checking AI Output before you rely on it, publish it or ship it, including checking that it does not infringe anyone’s rights. Do not use AI Output as the only basis for decisions where an error could cause injury, death or significant harm.

7.4 Content restrictions. Our AI providers may refuse prompts under their own safety or content policies. You must not use the AI features to create content that breaks Section 8.

7.5 Third-party AI platforms. If you use our Services through a third-party AI platform (for example ChatGPT, Claude, Cursor or Codex), that platform’s own terms and privacy policy govern how it handles your conversations and the data passed between it and our MCP server. We are not responsible for the third-party platform.

8. Acceptable use

You must not, and must not help or allow anyone else to:

  1. use the Services to break any law, or to infringe or misappropriate anyone’s intellectual property, privacy or other rights;
  2. create, upload, generate or share content that is illegal, sexually exploits minors, is sexually explicit, harasses, threatens, defames, promotes violence or hate, impersonates others, or is deceptive in a harmful way (for example, deepfakes of real people without their consent);
  3. record, track or locate people without a lawful basis or their consent, including through test environment recordings, Cloud or Geospatial Anchors, or co-location;
  4. upload malware, or use the Services to attack, probe or compromise any system, including through scene code or files submitted for rendering, conversion or analysis;
  5. get around the Services’ security, authentication, rate limits, usage metering, credit limits, watermarks or plan restrictions, for example by creating multiple Free accounts, sharing accounts, or sharing access tokens;
  6. access the Services by automated means other than the interfaces we provide (the Editor, our APIs, SDKs and the MCP server), or put an unreasonable load on our infrastructure;
  7. resell, sublicense or offer the hosted Services, or a substantial part of their features, to third parties as your own hosted or managed service without our written agreement (building and shipping your own apps is welcome);
  8. systematically extract our knowledge base, data or models to build a competing product, or reverse engineer the proprietary parts of the Services, except where the law permits this despite this restriction;
  9. use the AI features to develop or train AI models that compete with our providers’ models, where those providers’ terms forbid it;
  10. use the Services in safety-critical, weapons or other high-risk systems, where failure could lead to death, personal injury or serious environmental or property damage, unless an Enterprise Agreement covers that use; or
  11. break the acceptable-use policies of our providers that apply to your use, or the terms of any platform you connect the MCP server through.

Apps you build. If you build an app that uses ReactVision Spatial or other Services, you are responsible for your app and its end users. That includes having your own terms and privacy policy, getting any consents your end users must give (for example, for camera, location or user-generated content), and making sure your app’s use of the Services follows these Terms.

We may investigate suspected breaches, and we may remove content or limit or suspend access under Section 13.

9. Third-party services and app stores

The Services rely on, and connect to, services run by other companies, including the AI providers behind 3D model and image generation and the Editor’s AI agent. The agent uses more than one large language model provider, currently including Google (Gemini) and OpenAI, and we may change the providers we use. Our current providers are listed in our Privacy Policy. When you use a feature that relies on a provider, your inputs are sent to that provider to carry out your request, and their own terms may also apply. Third-party platforms you choose to use with our Services, such as AI assistants, app stores, Meta Horizon OS, ARCore and ARKit, are governed by their own terms. We are not responsible for third-party services, and we may change providers.

Apps from app stores. If you download one of our apps from the Apple App Store, Google Play or the Meta Horizon Store, these Terms are between you and ReactVision only, not the store operator. ReactVision, not the store operator, is responsible for the app, its maintenance and support, and any claims about it, including product liability, legal compliance and intellectual property claims. For apps from the Apple App Store, Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you; if the app fails to conform to any applicable warranty, you may notify Apple, which will refund the purchase price (if any), and Apple has no other warranty obligation. You must also follow the store’s own usage rules.

10. Our intellectual property and feedback

10.1 Ours. Apart from Your Content and open-source code licensed to you under its own license, ReactVision and its licensors own all rights in the Services, including the software, knowledge base, documentation, website content, and the ReactVision, ViroReact, StudioGo and related names and logos.

10.2 Your right to use the Services. Subject to these Terms, we give you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your own or your organization’s purposes.

10.3 Trademarks and watermark. You may refer to ReactVision and ViroReact accurately, for example “built with ViroReact”, but you must not use our logos or names in a way that suggests we endorse or sponsor you without our permission. On the Free plan, published content may carry a “Powered by ReactVision” watermark, which you must not remove or hide.

10.4 Feedback. If you send us ideas or feedback, we may use them without any obligation to you.

11. Copyright complaints

If you believe content on the Services infringes your copyright or other rights, email support@reactvision.xyz with “Copyright” in the subject line. Please include: the work you say is infringed; where the content is on the Services; your name and contact details; a statement that you believe in good faith the use is not authorized; and a statement, under penalty of perjury, that your notice is accurate and that you are the rights holder or authorized to act for them. If we remove your content after a notice and you believe that was a mistake, you can reply with a counter-notice explaining why. We terminate the accounts of repeat infringers in appropriate circumstances.

12. Changes to the Services and to these Terms

12.1 The Services. We are continually developing the Services and may add, change or remove features, tools (including MCP tools), AI models and providers. Features labelled alpha, beta, preview or “coming soon” are offered as-is, may change or be withdrawn at any time, and may be less reliable. If we remove a major paid feature you rely on, we will give you reasonable notice where we can.

12.2 These Terms. We may update these Terms. If a change is material, we will tell you by email or by a notice in the Services at least 30 days before it takes effect, unless the change is needed sooner for legal or security reasons. The “Last updated” date at the top shows the current version. If you keep using the Services after a change takes effect, you accept the updated Terms. If you do not agree, stop using the Services and cancel your subscription. Changes to Section 18 do not apply to disputes we already knew about before the change.

13. Suspension and termination

13.1 By you. You can stop using the Services at any time. You can delete your account at studio.reactvision.xyz/settings, or ask us to delete it by emailing support@reactvision.xyz with “Data deletion” in the subject line. Deleting your account permanently removes your profile and the data you uploaded, including test environment recordings, and cannot be undone. Cancelling a subscription does not delete your account.

13.2 By us. We may suspend or limit your access, remove content, or terminate your account if:

  • you seriously or repeatedly breach these Terms (including Section 8), or do not pay fees when due;
  • we must do so to comply with the law or a court or authority;
  • your use creates a security risk or could harm the Services, other users, our providers or third parties; or
  • we stop offering a Service. In that case we will give you reasonable advance notice and, where you prepaid for that Service, a pro-rata refund for the unused period.

Where it is reasonable and lawful, we will tell you before we act and give you a chance to fix the problem.

13.3 What happens next. When your account ends, your right to use the Services stops. Hosted scenes and assets stop streaming to your apps, and Cloud and Geospatial Anchors and API keys stop resolving. We will delete Your Content in line with our Privacy Policy. Sections that by their nature should continue (including Sections 3, 6.3 for residual copies, 7.3, 10, and 15 to 20) survive termination.

14. Enterprise customers and order forms

If your organization has signed an order form, statement of work, master services agreement, on-premises license, data processing agreement or other written agreement with ReactVision (an “Enterprise Agreement”), that Enterprise Agreement governs, and where it conflicts with these Terms, the Enterprise Agreement prevails. On-premises deployments, dedicated ReactVision Spatial instances, custom hardware builds, SSO, audit logging, service levels, dedicated support, migration services and enterprise pricing are provided only as set out in an Enterprise Agreement.

15. Disclaimer of warranties

The Services are provided “as is” and “as available”. To the fullest extent the law allows, ReactVision disclaims all warranties and conditions, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted or error-free operation. We do not warrant that the Services, AI Output, anchors, location data, renders or validation results will be accurate, available, secure or free from errors, or that they will work on any particular device or platform.

Augmented and virtual reality can distract you from your surroundings and can cause discomfort or motion sickness. Stay aware of your physical environment and follow your device maker’s safety guidance.

Some places do not allow certain warranties to be excluded. If you are a consumer, you may have legal rights that these Terms cannot take away, and nothing in these Terms affects them.

16. Limitation of liability

To the fullest extent the law allows:

  1. ReactVision will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, goodwill or business opportunity, arising out of or related to these Terms or the Services, even if we were told such loss was possible; and
  2. ReactVision’s total liability for all claims arising out of or related to these Terms or the Services will not exceed the greater of (a) the amount you paid us for the Services in the 12 months before the event that gave rise to the claim, and (b) US$100.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law. If you are a consumer in the UK or EU, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking these Terms or our failing to use reasonable care and skill, and the exclusions above apply only as far as your local law allows.

17. Indemnity

If you use the Services for business purposes, you will defend and indemnify ReactVision and its officers, employees and agents against third-party claims, and the related losses, damages and reasonable costs (including legal fees), that arise from Your Content, apps you build with the Services and their end users, your breach of these Terms or of the law, or your infringement of someone else’s rights. We will tell you promptly about any such claim, let you control its defense, and cooperate reasonably at your expense. You may not settle a claim in a way that admits fault on our behalf without our consent.

18. Governing law and disputes

18.1 Governing law. These Terms, and any dispute arising from them or from the Services, are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. The Federal Arbitration Act governs Sections 18.3 to 18.6.

18.2 Talk to us first. Before starting any formal proceedings, please email support@reactvision.xyz with “Legal” in the subject line, describing the dispute and what you are asking for. We will do the same with you, using the email on your account. Both of us will try in good faith to resolve the dispute informally for 60 days before starting arbitration or court proceedings.

18.3 Binding arbitration (United States). If you live in the United States, or are a business located there, you and ReactVision agree that any dispute arising out of or related to these Terms or the Services will be resolved by final, binding arbitration on an individual basis, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (if you are a consumer) or its Commercial Arbitration Rules (otherwise). Consumer hearings take place by video, or in person in the county where you live if you ask for it; other hearings take place in Delaware or by video. Fees are paid as set out in the AAA rules. The arbitrator may award the same individual relief a court could, and the arbitrator’s decision can be entered in any court with jurisdiction.

18.4 Exceptions. Either of us may bring an individual claim in small claims court if it qualifies, and either of us may ask a court for an injunction to stop infringement or misuse of intellectual property or of the Services.

18.5 Opting out of arbitration. You can opt out of arbitration within 30 days of first accepting these Terms by emailing support@reactvision.xyz with “Arbitration opt-out” in the subject line, from the email address on your account, including your name. Opting out does not affect any other part of these Terms.

18.6 No class actions or jury trials. To the extent the law allows, you and ReactVision may bring claims against each other only individually, not as a plaintiff or class member in any class, collective or representative proceeding, and you and ReactVision each waive the right to a jury trial. If this class-action waiver is found unenforceable for a particular claim, that claim must be decided in court, not in arbitration.

18.7 Courts. Any dispute that is not arbitrated will be decided exclusively by the state or federal courts located in Delaware, and you and ReactVision consent to their jurisdiction.

18.8 Consumers outside the United States. Sections 18.3 to 18.6 do not apply to you if you are a consumer living outside the United States. If you are a consumer in the UK, the EU or another country whose law protects you, you also benefit from the mandatory consumer protection laws of the country where you live, and you may bring proceedings in your local courts.

19. Export controls and sanctions

You must comply with all applicable export control and sanctions laws when using the Services. You confirm that you are not located in, or ordinarily resident in, a country or region subject to comprehensive US, UK or EU sanctions, and that you are not on any government list of restricted parties.

20. General

  • Entire agreement. These Terms, together with any plan terms shown at purchase and any Enterprise Agreement, are the whole agreement between you and us about the Services.
  • Assignment. You may not transfer these Terms without our written consent. We may transfer them in connection with a merger, acquisition, reorganization or sale of assets, or to an affiliate.
  • Severability. If any part of these Terms is found unenforceable, the rest stays in effect.
  • No waiver. If we do not enforce a right, we have not given it up.
  • Force majeure. Neither of us is liable for delays or failures caused by events beyond our reasonable control. This does not apply to your obligation to pay fees.
  • No third-party beneficiaries. Only you and ReactVision have rights under these Terms, except as stated in Section 9 for app store operators.
  • Notices. We may send notices to the email address on your account or through the Services. Send legal notices to us at support@reactvision.xyz with “Legal” in the subject line, and by post to our registered address in Section 21.
  • Language. If we translate these Terms, the English version prevails where the law allows.
